Leyla also provides general corporate and governance advice to clients in a broad range of industries including agriculture, diversified industrials, construction, hospitality and retail.

Experience

• assisting the Cherkizovo Group with major transactions involving large agricultural companies in different Russian regions (Altaisky Broiler, Zdorovaya ferma, Pit Product, Samson, Cargill), including conducting legal due diligence

• advising Tochka Bank on a project for acquisition of a software developer throughout all steps from legal due diligence to drafting, negotiating and executing transaction documents

• assisting R.Stahl AG, a leading manufacturer of explosion-protected products, with a joint venture with Goreltex LLC, including conducting legal due diligence and drafting of transaction documents

• assisting Rolls-Royce with the acquisition of the Kinolt Group, a Belgian producer of uninterruptible power supply systems, including conducting legal due diligence and providing further support with their corporate reorganization to integrate the Kinolt Group as well as the implementation of changes adopted at the HQ level

• assisting Indutrade, an international technology and industrial group, in selling its Russian business through a management buyout

• assisting with the corporate reorganization of an outsourcing services company for governments and diplomatic missions worldwide, including the intra-group transfer of a Russian subsidiary
