About
Natalia advises Russian and foreign clients on compliance with antitrust and countersanctions legislation related to carrying out their ongoing business activities in Russia.
Natalia leads projects on obtaining approvals from the FAS of Russia, the Government Commission on Control over Foreign Investments in the Russian Federation as well as other state authorities for the acquisition and transfer of assets/shares (interests) of business entities conducting business activities in Russia. Natalia also takes part in projects on the creation/liquidation of joint ventures/subsidiaries on Russian territory and provides legal support for transactions on the sale and purchase of shares (interests) of business entities.
Natalia’s experience includes supporting clients in structuring their exit from Russian assets, obtaining permits to comply with the relevant countersanctions decrees of the President of the Russian Federation, as well as advising clients from various sectors of the economy in cases of violation of antitrust legislation in terms of abuse of dominant position, conclusion of anticompetitive agreements, and implementation of unfair competition practices.
Experience
- representing STOCKMANN in obtaining a permit from the subcommittee of the Government Commission and the approval of the FAS Russia for the acquisition of Lamoda, a leading online fashion platform in Russia and the CIS, as well as coordinating obtaining the approval from the antitrust authority in Kazakhstan
- advising one of the leading companies in the selection and production of agricultural seeds and a multinational pharmaceutical and biotechnology company on the compliance of their new joint business model with the applicable Russian and Eurasian antitrust laws and potential risks
- supporting the process of obtaining the approval of the FAS of Russia and the permit of the subcommittee of the Government Commission for the acquisition by ARM LLC of the Russian subsidiaries of DECATHLON SE and Weddell SA, specializing in the development, production and sale of sporting goods for more than 70 different sports
- providing legal support for the internal restructuring of a group of the largest mining equipment manufacturers in Russia
- providing legal support throughout the process of obtaining approval from the FAS of Russia and the Government Commission for a USD 17 billion merger between Siemens AG, a global German technology company, and Alstom S.A., a leading French manufacturer of rolling stock
- advising one of the leading pharmaceutical companies in Central and Eastern Europe on the assessment of antitrust risks associated with the planned increase in wholesale prices for a medicinal product, taking into account the company's potential dominance in the relevant product market

A new “Review of judicial practice on the imposition of administrative liability for violations of antimonopoly legislation” was approved. The BIRCH team prepared an overview of the top 13 positions of the SC, which may affect the application of the Competition Law and the the CoA.
