Timur’s practice is focused on advising clients on regulatory issues. He has extensive experience on regulatory matters related to manufacturing, importation and circulation in the Russian Federation/EAEU of food, perfume and veterinary pharmaceutical products, as well as environmental protection and industrial safety.

In addition, Timur supports cross-border and Russian M&A transactions.

Timur also works on infrastructure projects, including on the advantages provided to foreign investors by various special investment regimes and special investment contracts in Russia.

Experience

• supporting Rosseti in the process of consolidation of the joint stock companies’ owners of the high-voltage grids including analysis of alternative consolidation structures and the regulatory impact of the transaction on the Russian grid market, procedures of privatization of the property and shares and support of the procedure of the merger of certain joint stock companies including PJSCs with another public joint stock company

• advising CEFC China Energy Company Limited in the potential acquisition of a minority stake in a gas production subsidiary of Rosneft and establishing a joint venture with Rosneft for the future development and exploration of gas deposits, including comprehensive DD of the one of the key gas production subsidiaries of Rosneft

• advising CB Enterprises Pte. Ltd. on the acquisition of a 10% participatory share in Vostok Oil LLC by the way of a share deal. The advice included legal due diligence, drafting transaction documents, Russian merger control clearance, and closing the transaction in Russia

• advising Ctrip with regard to its due diligence on 3 Russian targets and the acquisition of shares thereof, including structuring and financing of the transaction

• advising China National Gold Group Corporation in respect to the acquisition of a majority stake in gold mines in Russia (gold deposits of federal importance) and a JV project with an existing shareholder
