Nikita focuses his practice on M&A transactions and real estate projects.

He provides legal support to clients across a range of industries in both domestic and cross-border M&A transactions, as well as in the formation of joint ventures. Nikita also advises on corporate, commercial, and contract law matters, helping clients navigate complex legal issues in a variety of sectors.

In the real estate and construction space, Nikita assists clients with transactions involving the sale and purchase of real estate, commercial lease agreements, and subcontractor arrangements in Russia.

His experience further includes advising on finance-related projects, including structuring and negotiating financing transactions, intra-group financing and reorganizations, debt restructuring, and the assignment of debt including cases involving insolvent or bankrupt borrowers.

Experience

• advising RBC throughout concluding a transaction on its entry into Hyper's capital to develop a project related to the creation of innovative video advertising products
• advising a technological leader of the Russian oil and gas market (top 3 largest oil producers in the Russian Federation) in a number of M&A transactions on the acquisition of gas station networks in various regions of the Russian Federation, including due diligence, preparation of transaction documents, negotiation support and deal closing
• providing comprehensive legal support on a transaction involving the sale of two subsidiaries of the Purmo Group that manufacture and sell radiators to an investment firm from the Russian Federation
• advising YIT on the sale of its Russian assets to Etalon Group at all stages of the transaction, including structuring the deal, conducting due diligence, organizing a tender, preparing the transaction documentation and closing the RUB 4,5bn deal
• advising a developer implementing a project for the integrated development of non-residential buildings in Moscow within the framework of a joint venture together with an operator of KRT on the specifics of the legal status of the operator of the integrated development of the territory in Moscow and the procedure for the implementation of such projects
• advising Tosaf Compounds on concluding a lease agreement in relation to production facilities in Russia, including due diligence of several sites, participation in negotiations and execution of the transaction
