In the last year, we have grown by 40% both in terms of revenue and personnel. We have consolidated and improved our position in most of our practices, including the firm's major areas of expertise — Corporate and M&A, as well as Dispute Resolution.
British banks had frozen over €7 million in funds intended for the client's foreign partners due to the involvement of a sanctioned Russian bank in the original payment route. The client sought advice from BIRCH LEGAL due to the difficulties encountered.
Prior to joining BIRCH LEGAL, Vitaly was a Senior Associate at Better Chance (formerly Clifford Chance CIS Limited). Vitaly specializes in corporate and commercial law, advising Russian and international companies for over 14 years on all aspects of M&A, private equity, joint ventures and corporate restructurings.

This past year was full of important events for us. Other than working on exciting projects and significantly strengthening several of our practices, we also celebrated the first year of our beloved BIRCH LEGAL brand. We matured so much and so rapidly as a company this year that the size of our team quickly outgrew our Moscow office. We soon realized that it was time to find a big, new home for BIRCH LEGAL and found one straight away!
The new Resolution addresses various circumstances that do not qualify as grounds for recognizing a structure as an unauthorized construction, specifies the list of structures not subject to the rules on unauthorized constructions, and resolves an array of disputes that tend to arise when legalizing an unauthorized construction.
In the beginning of January, changes to the State Commercial (Arbitrazh) Procedural Code (SCPC) came into force. The BIRCH LEGAL Dispute Resolution Team, Partner Evgeny Oreshin, as well as Junior Associates Daria Bilyk and Ivan Tebenev, have reviewed the recent changes.
The Moscow City Arbitration Court has formed a new approach on bringing persons to joint and several liability: now, it is possible to recover a debt under a contract not only from the foreign company which is a party to the contract, but also from a Russian company which is part of the same group as the foreign company. A number of other similar decisions have also recently been rendered. Previously, such examples have not been seen in Russian court practice, and a case could be made for the occurrence of judicial law-making in this regard (independent of whether the courts’ approach is correct or not).
Starting from 1 January 2024, Federal Law No. 593-FZ will introduce a 15% tax rate on withholding tax for foreign companies’ income when paying for intragroup services provided by an interdependent foreign entity to a Russian company.
