The current geopolitical situation necessitates the unilateral adjustment of many contractual obligations or withdrawal from them as well as a way to reduce or eliminate contractual liability. Based on the court practice of previous crises in Russia and our own experience, we will present our vision of which legal instruments can be used for these purposes.
We will cover how economic crises, sanctions, currency changes, and inflation are taken into account in the unilateral change and termination of contracts, including the following legal mechanisms:
- force majeure
- material change of circumstances
- impossibility of performance
- contractual terms on the right to withdraw from the contract in case of sanctions
- unfair contract terms
- good faith
- contract interpretation
